Sr. Manager – Legal Ops & Assistant Corporate Secretary
Yellow Group seeks an experienced Sr. Manager – Legal Ops & Assistant Corporate Secretary to assist the General Counsel in the legal department with corporate, tax, and commercial matters. This person will work closely with company leaders to execute key financial and corporate governance initiatives
Duties and Responsibilities:
Manage corporate governance function of all domestic and international subsidiaries including the establishment of new entities in alignment business objectives. Attend subsidiary board meetings, take minutes, and prepare resolutions and other ancillary documents.
Support General Counsel with Board of Director matters, including planning and preparation of materials for Board and Committee meetings, drafting of corporate resolutions, and assisting with corporate governance policies for both private and public companies. Ensure corporate records and electronic minute books for parent company and all subsidiaries are kept up-to-date.
Maintain accurate and current officer, director and corporate governance information. Assist with director and officer agreements, D&O questionnaires, corporate forms, and information charts.
Partner with Finance, Tax and Treasury teams on statutory audits, ongoing capitalizations, repatriations, transfer pricing matters and assist with drafting of intercompany service agreements.
Assist with banking resolutions, incumbency certificates, powers of attorney, and other key documents, register and maintain each entity in good standing, and ensure annual reports are filed to meet on-going compliance with corporate and business registration requirements.
Serve as company point of contact to manage equity transfer process, working with Transfer Agent and equity holders. Manage updates to the Investor Relations website.
Support data gathering, organization of materials, and due diligence related to financial transactions, as needed.
Assist with drafting and maintenance of financial disclosures, proxy statements, and quarterly and annual reports with the SEC or other entities as needed and appropriate to meet reporting obligations
Stay current and help educate management and the finance and legal teams on new regulatory requirements and corporate best practices.
Partner with Social Compliance Team and assist with scheduling training sessions for anti-corruption and other corporate compliance topics, tracking attendance, and updating training materials.
Support the team as needed with commercial transactions and the contract process, including issuance of form contracts and statements of work, review and implement contract revisions (under attorney supervision).
Must be present in the company’s New York, NY headquarters on a hybrid basis each week
Education, Experience, and Skills
Bachelor’s Degree (Paralegal Certificate optional)
Minimum of 7 years’ experience as a paralegal in-house and /or with a law firm
In-house experience a plus
Experience with legal department budgeting/expense tracking support
Experience with Diligent board books or similar software preferred
Experience with M&A deals and the preparation of regulatory filings for SEC
Excellent interpersonal and communications skills
Strong work ethic, attention to detail, sound judgment and discretion, recognize matters where input is needed, and to progress other matters without undue level of oversight; and
Proficient with Microsoft Office applications, including Word, Excel, PowerPoint and Outlook
Embraces technology, detail oriented, diligent and flexible
